Access the Register of Foreign Foundations in Croatia

On 1 March 2019, the Act on Foundations entered into force (106/18, hereinafter: the Act).
As of this date, the representations of foreign endowments and foundations entered in the Register of Representations of Foreign Endowments and Foundations in the Republic of Croatia in accordance with the provisions of the Act on Endowments and Foundations (Narodne novine, No. OG 36/95 and 64/01) continue to act as foreign foundations under the provisions of the Act on Foundations.
Under the Act on Amendments to the Act on Foundations (NN 98/19), foreign foundations are entered in the Register of Foreign Foundations kept by a competent administrative body in a county or the City of Zagreb (hereinafter: the competent administrative body) according to the seat of the foreign foundation. 
The Register of Foreign Foundations is a central electronic database kept by the competent administrative bodies in a uniform manner for all foreign foundations in Croatia. 

A foreign foundation is a foundation duly established on the basis of the legal order of another country. 

A foreign foundation may achieve its purpose on the territory of Croatia upon registration in the Register of Foreign Foundations, in accordance with the regulations of the Republic of Croatia. 

Foreign foundations do not acquire legal personality upon their registration in the Register of Foreign Foundations. 

 

The application for registration in the Register of Foreign Associations is to be submitted by the person authorised to represent the foreign association in Croatia. 

The following documents must be enclosed with the application form for registration: 
– copy from the register of the foreign country in which the foreign association is registered, from which it is evident who is authorised to represent the foundation and its purpose
– foundation charter, statute or other founding document, authenticated by the competent authority of the foreign country, from which it is evident who is authorised to represent the foundation and its purpose, in case the law of the country in which it was founded does not envisage entry of foundations in a register
– decision on the activities of the foreign foundation in Croatia
– decision on the appointment of persons authorised for representation of the foreign foundation in Croatia,
– notarised audit report on the operations of the foundation in the previous business year,
– copy of the identity document of the person authorised to represent the foreign foundation in Croatia,
– other evidence in case special requirements for the registration of the foreign foundation in Croatia are stipulated by special law.
– certified translations into the Croatian language and Latin script of the documents listed in subparagraphs (1) to (5). 


A decision on the activities of a foreign foundation in Croatia should include: 
– name and seat of the foreign foundation in the foreign country
– name and seat of the foreign foundation in Croatia
– purpose of the foreign foundation in the foreign country
– purpose of the foreign foundation in Croatia
– names of persons authorised for representation of the foreign foundation in Croatia. 

Foreign foundations are subject to the provisions of the Act on the Registration of Foundations and Changes to Foundations.
